The BYLAWS of the OUTDOOR SPORTSMAN'S CLUB, INC.

 

 

ARTICLE I

NAME

The name of this organization shall be "OUTDOOR SPORTSMAN'S CLUB, INC.," hereafter referred to as the "Club."

 

ARTICLE II

OBJECT

The object of this organization shall be the encouragement of organized shooting sports, conservation, and other outdoor activities among citizens of the United States resident in our community, with a view toward a better knowledge on the part of such citizens of the safe handling and proper care of shooting equipment (firearms, archery equipment, etc.) as well as improved marksmanship. It shall be our further object and purpose to forward the development of those characteristics of honesty, good fellowship, self-discipline, team play, and self-reliance which are the essentials of good sportsmanship and the foundation of true patriotism.

 

ARTICLE III

MEMBERSHIP

A. Classes of Membership

  1. Regular Member: Regular Membership [application] shall be open to any citizen of the United States or registered alien, eighteen (18) years of age or older, in good standing in their community, eligible to own, possess, and use firearms under the laws of the Commonwealth of Pennsylvania and the United States of America. Regular Members in good standing shall have the following rights:

Right to vote on Club rules, regulations, and procedures.

Right to be nominated and hold office in the Club after meeting any specific requirements for holding said office.

Right to use Club facilities as an individual or with guests in a responsible manner abiding by any Club rules or procedures.

  1. Junior Member: Juniors less than eighteen (18) years of age are eligible for Junior Membership upon written permission of a parent or legal guardian. They shall not be eligible to vote or hold office. Junior Members must be with [accompanied by] a Regular Member at all times when using range facilities and must comply with all rules and regulations.  Junior members may elect to extend their membership as juniors through age twenty (20).

  2. Honorary Member: Honorary Membership can be conferred upon those who have been of great service to the Club. The granting of an Honorary Membership must first be approved by the Executive Committee and then made known to the Regular Membership, in writing, two (2) weeks before a meeting at which the Honorary Membership is to be granted, together with the reason for same. Election to Honorary Membership shall be by two-thirds (2/3) vote of the Regular Members present and voting. Honorary Members shall have all the privileges of a Regular Member except voting rights and holding of office.

  3. Family Membership: A Regular Member in good standing may convert his/her membership to [into] a Family Membership subsequent to paying a premium in addition to regular yearly [annual] dues. The premium would be determined yearly at the same meeting as other fees are set. A Family Membership would consist of one Regular Member, one spouse, and all children in the immediate family under the age of eighteen (18) and adult children aged eighteen (18) through twenty (20) residing in the same household. The Family Membership is entitled to one (1) vote. The spouse of the member [Regular Member] will have the same rights, privileges, and responsibilities of a Regular Member with the exception of the right to vote. The children would have all rights, privileges, and responsibilities of [a] Junior Member[s].

B. Application and Acceptance

  1. Applicants for membership shall complete an application form and submit the form with the required initiation fee and dues to the Executive Committee in person at a regularly scheduled meeting of the Club for consideration for membership.

  2. The Executive Committee shall review all applications for membership and report their findings at the next Regular Meeting of the Club. The attending Regular Membership must vote on [the] approval of all membership applications.

  3. The Regular Membership can define criteria and requirements for membership as part of the rules and operating procedures of the Club. These criteria/requirements must be in writing and provided to the applicant at the time of application.

C. Responsibilities of Members

  1. All members of the Club have the responsibility to abide by all operating procedures and rules as defined by the Club.

 

ARTICLE IV

DUES, ASSESSMENTS, AND INITIATION FEES

  1. Dues, Initiation Fees, and/or Assessments shall be proposed annually for the coming fiscal year by the Executive Committee and shall be approved by a majority of the Regular Members in good standing, present and voting at the Annual Meeting or a Special Meeting. All approved dues, initiation fees, and/or assessments shall be posted with the Club's rules and operating procedures.

  2. Dues and assessments shall be due and payable within thirty (30) days from billing date. A member failing to pay any monetary obligation owed the Club within forty-five (45) days from the billing date shall forfeit all privileges. Any member failing to pay their monetary obligation within sixty (60) days from the billing date shall be declared as having their membership terminated.

  3. Members called to active duty by the Armed Forces shall retain Club status without payment of dues for the duration of the active service.

  4. In the event the Club should disband, either by agreement or circumstances beyond the Club's control, any assets after just debts have been satisfied shall be distributed among the present Regular Members through legal counsel with distribution according to present Regular Membership active by their most recent uninterrupted man-years of membership.

 

ARTICLE V

MEETINGS

  1. Regular Meetings - Regular Meetings of the Club shall be held once a month with the dates set at the Annual Meeting.

  2. Annual Meeting - The Annual Meeting shall be held on the third Tuesday in January.

  3. Special Meetings - Special Meetings of the Club may be held at any time upon the call of the President, or upon the call of the Executive Committee, or upon demand in writing, stating the object of the proposed meeting and signed by not less than twenty (20) percent of the members entitled to vote. Notice of the time, place, and object of any Special Meeting shall be given to all officers and members in good standing, in writing, by United States Mail, not less than seven (7) days prior to the date fixed for the holding of the meeting. The place of such Special Meeting shall be fixed by the Executive Committee.

  4. Quorum - A quorum for the meetings shall be ten (10) percent of the members of the Club entitled to vote, including four (4) or more members of the Executive Committee, one of whom shall be the President or the President-Elect. At a Regular Meeting, the quorum requirements may be waived by a three-fourths (3/4) vote of Regular Members present and voting.

 

ARTICLE VI

OFFICERS, DIRECTORS, AND EXECUTIVE COMMITTEE

  1. The officers of the Club shall be: President, President-Elect, Secretary, Treasurer, and Chief Safety Officer. They shall be elected by majority vote of the Regular Members in good standing present at the Annual Meeting of the Club, except for the office of President which is automatically filled by the preceding year's President-Elect.

  2. Directors represent the will of the membership. There shall be one (1) director elected for each Club activity pertaining to the basic objectives of the Club. The directors will promote and encourage the activity they represent. The membership may add to or delete from this list any directorship and its duties as deemed necessary.

  3. The Executive Committee shall consist of the elected officers, directors, and the immediate past President, each with one vote. The President shall be Chairman of the Executive Committee. At any Regular Meeting the President may request the appointment of Club members to the Executive Committee with voting rights. These appointments require the approval of the Regular Membership present at the meeting, and the term of such an appointment cannot be greater than the time period to the next Annual Meeting.

  4. Meetings of the Executive Committee shall be held once monthly or by special call of the President or by resolution of four (4) or more members of the Executive Committee. The meetings of the Executive Committee shall be open to the Regular Membership. Except as may otherwise be provided, a majority vote of the Executive Committee present shall be required for the transaction of business.

  5. Five (5) members of the Executive Committee shall constitute a quorum.

 

ARTICLE VII

DUTIES OF OFFICERS, DIRECTORS, AND EXECUTIVE COMMITTEE

  1. The President is the chief executive officer and shall preside at all meetings. The President shall be an ex-officio member of all committees and performs such other duties as normally pertain to the office. The President shall have the power to appoint or disband committees as directed by the membership.

  2. The President-Elect shall perform the duties of the President at the President's request or absence.

  3. The Secretary shall keep a record of all meetings of the Executive Committee, the Regular Membership, and have custody of all deeds, books, and papers of the Club. The Secretary shall execute all official correspondence pertaining to the proper forwarding of reports required of the Club by the Commonwealth of Pennsylvania, the United States Government, the National Rifle Association, Director of Civilian Marksmanship, or any other association with whom the Club may be affiliated. The Secretary shall be responsible for re-affiliation with the N.R.A. or any other group with whom the Club is affiliated.

  4. The Treasurer shall be responsible for all money from dues, fees, assessments, and events, and shall deposit same in the name of the Club. For collection of dues the Treasurer shall keep a record of all members and distribute membership cards. The record of the membership is to be provided to the Secretary for filing with other Club information. The Treasurer shall keep an accurate account of all transactions and report the status of the treasury at each regular monthly meeting. A detailed report of the past year's treasury activity shall be presented to the membership at the Annual Meeting. The Treasurer shall be authorized to pay by Club check normal operating expenditures.

  5. The Chief Safety Officer shall have the duty to oversee the enforcement of the Club rules, regulations, and policies, especially as they apply to the safe use of firearms, archery equipment, ranges, and facilities. It shall be the duties of this officer to investigate rule and policy violations, present the results of these investigations to the Executive Committee, and recommend appropriate disciplinary action.

  6. The Executive Committee shall have general supervision and control of all [the] activities of the Club. The Executive Committee can enact special rules or [and] operating procedures. These special rules or [and] operating procedures will only be in effect until the next Regular Meeting of the membership, at which time they must be voted on by the attending Regular Members for approval or rejection.

 

ARTICLE VIII

CLUB PROCEDURES, REQUIREMENTS, AND RULES

The Regular Membership must vote and approve all operating procedures, club office prerequisites, membership criteria/requirements, and rules of the Club. All members are to be informed of these rules, procedures, and requirements. All rules, procedures, and requirements are to be posted within seven (7) days of approval by the Regular Membership [in order] to provide access to all members and visitors to the Club. These Bylaws shall take precedence over all rules and/or procedures except in the case of individual or public safety.

 

ARTICLE IX

SUSPENSION AND EXPULSION

  1. Suspension - Any officer or member charged with an offense detrimental to the Club, but not serious enough to warrant expulsion, shall be granted a hearing at a meeting of the Executive Committee, and, if such charges are substantiated, may be suspended for a period [of] up to ninety (90) days.

  2. Expulsion - Any officer or member charged with malfeasance in office or who brings discredit upon the Club shall be granted a hearing at a special meeting of the Executive Committee. If such charges are substantiated by the Executive Committee, the charges will be presented at the next Regular Meeting of the membership, and a two-thirds (2/3) vote in the affirmative of the members present shall be required for expulsion. Any member so expelled shall lose all benefits and privileges. Failure of an alleged offender to appear at the Executive Committee hearing without a reasonable excuse and upon due notification shall not impede this procedure. Notice of action shall be sent to the alleged offender by registered mail. All current dues and fees shall be forfeit.

  3. Procedures - Charges shall be lodged with the Executive Committee in writing and signed by one or more members in good standing. Written notification of the action to be taken shall be given to the officer or member at least fifteen (15) days prior to any special meeting convened for this purpose. This notification shall include the charges, possible consequences if found guilty, and the time and place of the special meeting for consideration of the matter. This notification shall be sent to the alleged offender by registered mail, return receipt requested. At such special meeting the alleged offender shall be given a full hearing.

 

ARTICLE X

AMENDMENTS

Proposed revisions or amendments to these Bylaws may be introduced by any member of the Club at any Regular Meeting of the membership, but amendments or revisions to the Bylaws can only be approved by the membership at the Annual Meeting. Any revisions or amendments must be submitted in typewritten form to the Secretary. The membership must receive notification of proposed amendments or revisions through the regular monthly newsletter at least three (3) months prior to the Annual Meeting. A two-thirds (2/3) vote of the membership present at the Annual Meeting will be necessary to approve any amendment or revision to the Bylaws.

 

ARTICLE XI

RATIFICATION

Upon approval of these Bylaws by the membership, these Bylaws shall take effect [on] January 1, 1993 and supersede any preexisting Bylaws. Revised January 1, 1995; January 17, 1997; January 21, 2001;, January 20, 2004.
